style="border-color:#660033;color:#660033!important;">Start Here

A promise to sell is not a sale

There is a moment in almost every Turkish purchase when the buyer is committed and the seller is committed, but the title deed cannot move yet. The building has no occupancy permit. A mortgage still has to be discharged. The buyer is paying in instalments. The seller is an estate in the middle of an inheritance. Someone needs to be out of the country on the day the registry can take the appointment.

The instrument Turkish law provides for that gap is the taşınmaz satış vaadi sözleşmesi — a promise-to-sell contract. It does not transfer ownership. What it creates is a binding personal obligation: the seller undertakes to transfer the property to you, and you undertake to buy it, on agreed terms. If the seller later refuses, you can go to court and have the transfer ordered.

It is also where a great many foreign buyers get into difficulty, because the document they were handed and told to sign was not a satış vaadi at all. It was an ordinary written agreement on company letterhead, or a “reservation form”, or a printed contract signed in an agent’s office. For Turkish real estate, that distinction is not a technicality. It is the difference between an enforceable claim and a piece of paper.

The form rule, in one line. Under Article 237 of the Turkish Code of Obligations (Law No. 6098), a sale of immovable property is valid only if the contract is drawn up in official form — and promises to sell, repurchase and purchase option contracts are expressly stated to be invalid unless drawn up in official form as well. A contract that misses the form is not a weak contract. It is void.

Article 29 of the same Code explains why: contracts to conclude a contract in the future are valid, but the validity of a pre-contract depends on the form required for the contract that will eventually be concluded. Because a Turkish property sale needs official form, so does the promise to make one.

In practice that means a notary. A satış vaadi drawn up by a Turkish notary is the real thing. Almost nothing else is.

Satış Vaadi at a Glance

The provisions that decide whether yours works

Governing statuteLaw No. 2644, Art. 26

Form requirementLaw No. 6098, Art. 237

Where it is madeTurkish notary

Notary’s authorityLaw No. 1512, Art. 60

Annotated on tapuIf either party asks

Annotation lifespan5 years

On expiryStruck off ex officio

Transfers ownershipNo

General limitation10 years

Watch for this. A promise-to-sell contract and a payment schedule are two different questions. The annotation binds the property.

Without an annotation, a satış vaadi gives you a personal claim against one person. If that person sells the property to somebody else in the meantime, the new owner generally takes it free of your contract, and you are left suing the seller for damages — assuming they still have assets worth suing for. That is a materially worse position than the one most buyers think they are in.

With the annotation on the register, your claim is recorded against the property itself and is visible to anyone who looks. Later purchasers cannot credibly claim they did not know, and your right is strengthened against third parties rather than confined to the person who signed.

This is why the annotation matters disproportionately for buyers who are not in Turkey. You cannot drop in on the land registry to check nothing has happened. Sometimes the answer is ordinary. Sometimes it is that the seller is not in a position to transfer at all — because they do not yet own it, because the property is subject to a restriction, or because the sale would not survive scrutiny at the registry. A notary will not complete a sale where there is a legal impediment, and a promise to sell can be a way of papering over one.

Satış vaadi, or buy at a notary?

One development has quietly changed the background to all of this. Historically, a Turkish property sale could only be executed at the land registry office. Since a 2022 amendment to the Notary Law, that is no longer the only route: Article 61/A now provides that property sale contracts may also be made by notaries, with the detailed rules set out in a regulation published in the Official Gazette on 11 January 2023.

The structure of the notary route is worth understanding even if you do not use it, because it tells you what a notary is checking. The land registry shares the record and supporting documents with notaries through the land registry IT system. The notary identifies the rightholder and establishes that there is no legal impediment to the sale. Only then is the contract made. The moment it is signed, the notary takes a journal number from the system and records the contract, and registration follows at the land registry. If the rightholder cannot be identified, or an impediment exists, the notary does not carry out the sale.

That last sentence is the useful one. A notary refusing to complete is not bureaucracy. It is the system telling you something about the property. If a seller steers you towards a promise-to-sell contract after a notary has declined to execute a sale, you have learned something important and should stop.

So the practical question is no longer only “land registry or notary?” but “is there any reason this cannot simply be sold to me today?” Where the honest answer is no reason at all, a promise to sell is an unnecessary extra step and an unnecessary extra risk.

If you cannot be in Turkey

Distance is one of the weaker reasons to fall back on a promise to sell. The seller undertakes to transfer a specified property to the buyer, and the buyer undertakes to purchase it, on agreed terms — but ownership does not pass when it is signed. It is used when the parties are committed but the title deed cannot be transferred yet, for example because a building has no occupancy permit, a mortgage still has to be discharged, or the price is being paid in instalments. If the seller later refuses to complete, the buyer can bring proceedings to have the transfer ordered. Under Article 237 of the Turkish Code of Obligations (Law No. 6098), it is valid only if drawn up in official form, which in practice means a Turkish notary.

Does a promise-to-sell contract have to be made at a notary?+

Yes, for Turkish real estate. Article 237 of the Code of Obligations states that a sale of immovable property is valid only if the contract is drawn up in official form, and that promises to sell, repurchase and purchase option contracts are likewise invalid unless drawn up in official form. Article 29 of the same Code confirms that the validity of a pre-contract depends on the form required for the contract that will eventually be concluded. Making a taşınmaz satış vaadi sözleşmesi is expressly listed among a notary’s duties under Article 60 of the Notary Law (No. 1512). A contract signed in an estate agent’s office or on a developer’s letterhead does not meet the requirement, and a contract that misses the form is void rather than merely weak.

What does annotating the contract on the title deed achieve?+

It converts a claim against one person into a claim recorded against the property. Article 26 of the Land Registry Law (No. 2644) provides that promise-to-sell contracts drawn up by notaries are annotated on the property register if either party requests it — you do not need the seller’s agreement at that stage. Without the annotation, if the seller sells the same property to somebody else in the meantime, the later buyer will generally take it free of your contract and you are left pursuing the seller for damages. With the annotation, your right is recorded on the register for anyone to see and is strengthened against third parties. For buyers who are not physically in Turkey, this is the single most valuable step in the process.

How long does the land registry annotation last?+

Five years. Article 26 of Law No. 2644 provides that if the sale is not made, or the easement not established and registered, within five years from the annotation, the annotation is struck off on the initiative of the land registry director or land registry officials. No court order is needed and you are not notified. Two points catch buyers out. First, the five years run from the date of the annotation, not the date you signed at the notary, so any delay between the two is not added back. Second, losing the annotation does not cancel the contract — your personal claim against the seller survives, but the protection against third parties does not. Diarise the date when the annotation goes on.

Is the five-year period the deadline for taking the seller to court?+

No, and confusing the two is an expensive mistake. The five years in Article 26 govern the lifespan of the annotation on the land register and nothing else. The time limit for bringing a claim is a separate question governed by the Turkish Code of Obligations, under which — unless a specific provision says otherwise — claims are subject to a ten-year limitation period. The two clocks start from different events and do different jobs, and a claim can be live long after an annotation has lapsed. Because the correct limitation period depends on how the claim is framed, take advice on your specific contract rather than relying on the general rule.

Can I just buy the property outright at a notary instead?+

Often, yes, and it is usually the better outcome. Since the Notary Law was amended in 2022, Article 61/A provides that property sale contracts may also be made by notaries rather than only at the land registry office, with the detailed procedure set out in a regulation published in the Official Gazette on 11 January 2023. The land registry shares the record with notaries through the land registry IT system; the notary identifies the rightholder and confirms there is no legal impediment to the sale before the contract is made, then records it and registration follows. If a notary cannot identify the rightholder or finds an impediment, the sale is not carried out. The land registry shares the record with notaries through the land registry IT system; the notary identifies the rightholder and confirms there is no legal impediment to the sale before the contract is made, then records it and registration follows.
